This Privacy Notice (“Notice”) describes how Material Bank collects, uses, stores, discloses, and protects your personal data, and the rights and choices you have with respect to your personal data.

“Personal data” is any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or household. There is a subcategory of personal data called “sensitive personal data,” which requires elevated protections under certain privacy laws. However, we do not collect sensitive personal data (as defined by California law) in the contexts covered by this Notice.

Personal data does not include publicly-available data, which is information that is lawfully made available from federal, state, or local government records. Personal data also does not include data that is anonymous or de-identified (such as summary statistics or metrics).

A.    This Notice applies to your interactions with Material Bank, including when you: 

1. Visit our website, www.materialbank.com (our “Site”) as a visitor without creating an account (“Visitor”);
2. Use our services, such as using the design functions or collaboration tools on our Site, ordering physical or digital samples (“Samples”) or communicating with us or our partners (“Partners”) or designated brands of the Partners (“Brands”) that participate on the Material Bank platform (collectively, the “Services”); or
3. Create an account with us as a Professional Member, Enterprise Member, Student Member, or Digital Member (collectively, “Members”), or as a Brand Member, each as further described in Section 2 of our Terms of Use. Members, Brand Members and Visitors may be collectively referred to as “Users.”

B.    This Notice does not apply to personal data collected from:

1. Job applicants or employees. If you have questions about those practices, please reach out using the information in the “Contact Us” section. 
2. Those interacting with us from the European Union. To review our EU privacy practices, please reference our EU Privacy Notice.

Material Bank does not direct its services to, knowingly collect, or disclose the personal data of minors under 16. If we learn a minor under 16 has provided us with personal data, we will take immediate steps to delete such information.

The personal data we collect about you depends on your Member type, the context of your interactions with us, the choices you make, Services you use, and applicable law, as described below.

3.1    Information You Provide Directly to Us

A.    Members. We collect the following categories of personal data from you if you are a Member (or applying to become a Member):  

1. Identifiers. We collect your name and email when you submit an application or register to become a Member. We use your name and email address to create an account for you to use the Services. Although not required, Members may provide us with a mobile phone number during the application or registration process. If you opt in, we may send you promotional text messages. You may opt out of receiving text messages at any time as further discussed below. From time to time, we may partner with trade associations, and we will collect a trade association ID number to create an account for you.
2. Commercial and transaction information. We collect the sample order history of Professional Members and Enterprise Members who order Samples through our Services. We use this information to improve our Services and to recommend more relevant Samples to you.
3. Professional information. We collect the following professional information from Professional Members and Enterprise Members:
   1. Your job title, job type, company name, company size, work phone number, work email address, primary area of specialization, company address, and company type when you submit an application to become a Professional Member or create an account as an Enterprise Member. We use this information to create an account for you to use the Services. We also use your work email address to send you marketing materials, unless you opt out. 
   2. Project information (including the project type, project phase, project location, and any additional information and details you provide) when you order Samples from us so we can connect you with the Brands that supplied the Samples you ordered and to provide you with the Samples.
4. Student Information. If you are a Student Member, we collect your school name, program name, school email address, graduation date, and related information to create an account for you and to send you marketing materials, unless you opt out.
5. Inferences. We collect information about your preferences when you order Samples from or indicate interest in a particular Brand, based on the project information you provide, and the category of Samples you order. For example, if you order three Samples from Brand A, we will infer that you may be interested in more Samples from Brand A in the future, or if you order Samples for part of a project, we will infer that related Samples or categories of Samples may also be relevant to your project. We use this information to provide you with personalized Sample recommendations.
6. Other personal data.  You may elect to submit any personal data you choose to us via our messaging features, webforms, or surveys. We use this information to provide you with customer support and to improve our Services. We ask that you please notsubmit any sensitive personal data via these means (examples of sensitive personal data are race, sexual orientation, and social security number). 
   1. Inbox: The Services include an optional messaging service called “Inbox.” A Professional Member, Enterprise Member or Student Member may use Inbox to send messages to a Brand. Material Bank can see the personal data (e.g., name and email address) of both the Member and the Brand Member who is designated as a Brand representative (“Brand Rep”), as well as the contents of such messages. We use this personal data to help facilitate communications and resolve disputes; assess potential leads; analyze data on pricing queries and responses; and assess project information, all to improve our Services. For example, if we see that a Brand has not answered a Customer Member’s question, we can follow up with the Brand to ensure that the Customer Member’s question is answered. Or if a Customer Member and Brand disagree about what was communicated, we can check the message to help resolve the dispute. We can also determine who might be interested in which types of Samples, and correlate questions with project types.
   2. Enterprise Member Data: Because an Enterprise Member’s eligibility to use the Service is based on their association with their employing or associated company, we may provide content shared, messages written and messages received by such Enterprise Member or Brand Rep through the messaging service, as well as the Enterprise Member’s or Brand Rep’s internet and other electronic network activity information, to their associated or employing company specified during the registration process.  We may provide this personal data on an aggregated basis or an individual format as needed to the employing company. For example, if an Enterprise Member leaves their design firm, the design firm may need to access such Enterprise Member’s most recent messages, project details or account usage data to continue the project.
   3. AI and Machine Learning: We may utilize information you provide, including project data, to improve, develop and enhance our artificial intelligence (“AI”) and large language model (“LLM”) capabilities. This allows us to create new services and refine existing ones, such as analyzing project data to deliver more relevant insights to our Members and Partners, and to gain a deeper understanding of User needs. Any input data used in our AI and LLM systems will be aggregated and de-identified, ensuring it cannot be traced back to individual Users.

B.    Brand Members.  We collect the following categories of personal data from Brand Members:

1. Identifiers. We collect your name, email address, phone number and territory from the Partner so that we can automatically approve your account when you register as a Brand Member on Material Bank.
2. Commercial and transaction information. We collect your order history when you order Samples as a Brand Member for your reference and tracking.
3. Professional information. We collect your job title, primary area of specialization, company name, company size, work phone number, work email address, company address, and company type when you create an account as a Brand Member. We use this information to create an account for you to use the Services. We also use your work email address to send you our marketing materials, unless you opt out. 
4. Other personal data. You may decide to submit any personal data you choose to us via our messaging features, including Inbox if you are a Brand Rep, webforms, or surveys. We use this information to provide you with the Services, customer support, and to improve our Services. We may also use this information to improve, develop and enhance our AI and LLM capabilities as described in the AI and Machine Learning provision above. We ask that you please not submit any sensitive personal data via these means (examples of sensitive personal data are race, sexual orientation, and social security number).

C.    Visitors. We do not collect personal data directly from you when you browse our Site as a Visitor, unless you choose to contact us via email or an online webform. If you choose to contact us, please do not send us any sensitive personal data (examples of sensitive personal data are race, sexual orientation, and social security number). 

3.2    Information We Collect about You from Third Parties

A.    Members. We collect the following categories of personal data about you from third parties if you are a Member (or are applying to become a Member):  

1. Identifiers. 
   1. We collect your name when your employer is a Partner or has an enterprise account and they refer you to create an account with us. We use this information to preapprove your account with us. 
   2. We collect your name when a current Member refers you to us via our referral program or sends you an invitation to join Material Bank as a Professional Member. We use this information to consider you for Professional Membership.
2. Professional information. 
   1. We collect your work email address and territory (e.g., state or region) when your employer is a Partner or has an enterprise account and they refer you to create an account with us. We use this information to preapprove your account. 
   2. We collect your job title and work email address when someone you know refers you to us via our referral program. We use this information to consider you for Professional Membership.
3. Other personal data. We may collect your social media information to confirm your credentials as part of our vetting process for Professional Members when you apply to become a Professional Member. For example, we may conduct a manual online search to verify that a potential Professional Member works at a particular design or architecture firm to ensure they are eligible to order free Samples.

 B.    Brand Members. We may collect additional personal data about you that your employer provides to us to help facilitate our Services. For example, we may collect an alternate work phone number or a secondary work location, to help us reach you.

C.    Visitors. We do not collect personal data about you from third parties when you browse our Site as a Visitor except in the limited capacity outlined in the next section. 

3.3    Information We Collect about You Automatically

Users. We collect internet or other electronic activity information when you use our Services, including the Site, regardless of whether you are a Member, Brand Member or Visitor. For example, we collect your usage data on our Site, including your IP address, the model of your computer or mobile device, your internet service provider, browser type, and operating system. We also collect your Site interaction data such as referring/exit pages, which links you clicked, which pages you viewed, how long you spent in certain areas of the Site, information you searched for on the Platform, and access timestamps, using behavior analytics tools such as Hotjar and Clarity. We use the information described in this section to improve our Site and Platform by understanding how people use them. For more information about how we collect and use your usage data on our Site, please refer to our Cookie Policy.

We disclose your personal data as required by law and as part of our business practices, as described below.

4.1      Connecting Members with Brands

We connect Members with the Brands that supply the Samples they ordered.  When a Member who is authorized to order Samples (i.e., Professional Members and Enterprise Members) requests a particular Sample, we will share such Member’s contact information (e.g., name, company name, work email address, work phone number), the Samples ordered, and project information provided by the Member with the Brand that supplied the Samples ordered so the Brand can contact the Member about their project. 

4.2      Employers of Members and Brand Representatives

We may share personal data of Professional Members, Enterprise Members and Brand Members with their employing company, and we may share personal data of Student Members with their schools.  For example, some companies or firms may establish an enterprise account with Material Bank. In such cases, the companies or firms have access to all activity of Enterprise Members with accounts created under the enterprise account. 

If a Brand Rep is associated with more than one Partner at a time, the Brand Rep’s personal data may be shared with each of the Partners the Brand Rep is associated with.

4.3      Third-Party Service Providers

A.    We share your personal data with third-party service providers that require access to your information to support our operations and delivery of Services. The third parties that Material Bank shares your personal data with include: 

1. Professional services advisors to protect and manage our business interests; 
2. Billing and payment providers to authorize, record, settle and clear transactions; 
3. Cloud hosting providers to provide data storage and processing services; 
4. Customer support providers to respond and resolve member inquiries and support requests; 
5. Corporate and information technology services to facilitate business operations and communications; 
6. Analytics companies to perform marketing analytics or market personalized products to you; and 
7. Any other suppliers, sub-contractors, partners, vendors, and other service providers acting on our behalf.  

 B.    We also may use and disclose aggregate information that does not identify or otherwise relate to an individual for any purpose unless we are prohibited from doing so under applicable law.  

4.4      Business Transfers

As we continue to develop our business, we may buy, sell, or share assets in connection with, for example, a merger, acquisition, reorganization, sale of assets, or bankruptcy. In such transactions, information about Visitors and Members is often a transferred business asset. In the event that Material Bank itself or substantially all of Material Bank’s assets are acquired, information about Visitors and Members may be one of the transferred assets.

4.5      Legal or Public Authorities   

We disclose personal data to legal or public authorities when disclosure is reasonably necessary to:        

• Enforce this Notice;
• Comply with any applicable law, regulation, subpoena, legal process, or enforceable governmental request;   
• Detect, prevent or otherwise address security, fraud, or technical issues;  
• Enforce our contractual obligations, including investigation of potential violations; or  
• Protect against harm to the rights, property, or safety of Material Bank, you, or the public as required or permitted by law.  

We do not sell your personal data to third parties. We share your personal data for targeted advertising purposes to serve you with personalized ads through our use of third-party marketing and analytics tools, such as Google Analytics. To opt out of this sharing, visit the footer of our Site and click the “Your Privacy Choices” link.

We do not sell or share personal data of minors under 16.

Some web browsers may be configured to send Do Not Track (“DNT”) signals to websites, or Users may use similar mechanisms, to indicate a User’s preference that certain web technologies not be used to track the User’s online activity. Because there is not yet a consensus on how companies should respond to web browser-based DNT mechanisms, we do not respond to web browser-based DNT signals at this time.

You may manage the Cookie Settings that apply to you as a User by visiting the “Your Privacy Choices” link in the footer of our Site or by visiting our Cookie Policy and clicking the “Cookie Settings” button in the “Your choices” section.

When you visit our Site, we use cookies and similar technologies such as web beacons, alone or in conjunction with cookies, to automatically collect certain technical information from your browser or device. For more information about how we use cookies and to learn how to manage cookies, please see our Cookie Policy. 

We also use Google Signals to better understand how Users interact with our Platform across multiple devices. You can manage your Google account activity and settings, including data collected through Google Signals by visiting My Activity, and you can opt out of Google’s use of cookies and device identifiers by visiting Google’s Ads Settings. Data collected through Google Signals may be used for aggregated analytics and personalized advertising. To opt out of sharing data for targeted advertising, please visit the “Your Privacy Choices” link in the footer of our Site.

Material Bank operates its Services the United States. All our servers, including those used to provide the Services, are located in the United States. If you access our Services from outside the United States, such as Canada, we will need to transfer your personal data to the United States to provide you with our Services.

We retain your personal data for the necessary period to fulfill our legal and contractual obligations; support business operations; develop our Site and the Services; resolve disputes; and enforce our rights. 

The criteria we use to determine the retention period include the following:

• The amount and type of personal data;
• Our reasons for processing the personal data; 
• The potential risk of harm from unauthorized use or disclosure of the personal data;
• Whether we need this particular personal data to achieve our business purposes; and 
• The legal requirements that apply to the personal data.  

We are very concerned with safeguarding your personal data. We employ administrative, physical, and electronic measures designed to protect your information from unauthorized access. For example, we use commercially reasonable security measures such as encryption, firewalls, and secure socket layers/transport layer security (SSL/TLS) to protect information.

Please note that no security system is impenetrable. Accordingly, we do not guarantee the security of our databases, nor that information you supply won't be intercepted while being transmitted to us over the Internet or other network. Any information you transmit to us, you do at your own risk. We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your unencrypted electronically stored “personal data” (as defined in applicable state statutes on security breach notification) to you via email or conspicuous posting through the Services in the most expedient time possible and without unreasonable delay, as consistent with (i) the legitimate needs of law enforcement or (ii) any measures necessary to determine the scope of the breach and restore the reasonable integrity of the data system.

You have a variety of privacy rights and choices when it comes to how we collect, use, and disclose your personal data, as described below.

11.1    Your Privacy Rights 

1. Right to Know: You have the right to know the categories and specific pieces of your personal data we have collected. When you request this, we provide a copy of the information in a format that you can read, use, and transfer (technology permitting). 
2. Right to Correct: You have the right to request that we correct any of your personal data we have collected.  
3. Right to Delete: You have the right to request that we delete any of your personal data we have collected. Please note that if you request to delete certain personal data, we may not be able to provide you with certain Services; for example, if you request we delete your company address, we will no longer be able to ship physical material Samples to you at that address. 
4. Right to Request Information: You have the right to request information about the collection, sale, and disclosure of your personal data.  
5. Right to Opt Out of Automated Decision Making: You have the right to object to our processing of personal information for automated decision making. We will stop processing the data for that purpose upon your request.  
6. Right to Opt Out of the Sharing of Information for Targeted Advertising: You have the right to opt out of the sharing of personal information for targeted advertising.  
7. Right to Non-Discrimination: You have the right to not receive discriminatory treatment for exercising any of your privacy rights. We do not treat anyone differently for exercising any of the rights described above.  
8. Right to Appeal: If we deny your privacy request, you have the right to submit an appeal by sending an email to privacy@materialbank.com. 

11.2 Your Choice to Unsubscribe or Opt Out

1. Marketing emails: If you no longer wish to receive marketing emails from us, visit the “Opt-Out” or “Unsubscribe” link at the bottom of any Material Bank email to remove yourself from our marketing list.
2. Text messages: If you previously opted in to receiving text messages from us and you subsequently wish to opt out of receiving text messages, text STOP to the telephone number from which Material Bank sent you the text messages or email us at support@materialbank.com. You may also visit our SMS Terms for additional information.
3. Unsubscribe from our Services: If you no longer wish to receive our Services, you can contact us through support@materialbank.com or the address in the Contact Us section provided below.

11.3    Exercising Your Rights  

You may exercise your privacy rights by using our Privacy Webform or by contacting us using one of the methods below in the Contact Us section. You may also opt out of the sharing of your personal data for targeted advertising by visiting the footer of our Site and clicking on the “Your Privacy Choices” link.

1. Identity Verification 

To help protect your privacy and maintain security, we take steps to verify your identity before responding to requests. To verify your identity to make the request and confirm that the personal data relates to you, we send you an automated message via our privacy management tool, OneTrust, to verify your email address. We also check our systems to ensure the information you provide matches our database to determine whether you have a relationship with Material Bank. 

2. Authorized Agents 

Depending on where you live, you may have an authorized agent submit an access request on your behalf. If you wish to use an authorized agent, you must provide the party with written permission signed by you. We may deny a request from an authorized agent if the agent cannot provide your signed permission demonstrating that you have authorized them to act on your behalf. 

If you have unresolved concerns, you may also address any grievance directly with the relevant supervisory authority:  

• If you live in California, please refer to the "Notice for California Residents" section below.  
• If you live in the United States outside of California, you may contact your state Attorney General.
• If you live in Canada, you may register a complaint to Material Bank regarding its privacy practices at privacy@materialbank.com.  

We periodically review and update this Notice to describe new products, processes, or changes to our practices. You can see when we last updated this Notice by referring to the “Updated” date at the top of this Notice. We encourage you to review the Notice whenever you interact with us to stay informed about our privacy practices and the ways that you can help protect your privacy. 

If we make significant changes to this Notice, we will notify you by email, via the Services, or by publishing the new Notice on our Site. If you do not agree with the privacy practices disclosed in the Notice, we recommend you stop using our Site and Services.

This section applies to California residents and outlines individuals’ rights and choices with respect to the processing of your personal data under the California Consumer Privacy Act and its implementing regulations (“CCPA”). It also serves as our “Notice at Collection” for California residents.

15.1  Data Collection

We collect the following categories of personal data, as defined by the CCPA:

1. Identifiers (for example, name, email address, mailing address),
2. Personal information as described in CA Civ. Code Section 1798.80(e) (for example, name, email address, mailing address),
3. Commercial information (for example, transaction and order history),
4. Internet or other electronic activity information (for example, device information and Site activity), 
5. Professional or employment-related information (for example, the employer name and work contact information and roles of Members),
6. Education Information (for Student Members, certain details about school, program, and graduation date), and
7. Inferences based on the data noted above (for example, Sample preferences).

We do not collect sensitive personal information as defined by the CCPA.

Most of the personal data that we collect is directly provided by you, although we may receive personal data from other sources, including third-party service providers and other Members. If, as a Member or Brand Member, your account is associated with an employer or school, we may receive personal data from that employer or school. We collect these categories of personal data from you so that we may provide our Services to you (maintaining or servicing accounts, providing customer service, processing or fulfilling orders and transactions, verifying customer information, etc.), ensure the security and integrity of our Site and Services, engage in advertising and marketing related to our Services, and verify and maintain the quality and safety of our Services. For more information on the types of personal data that we collect and the purposes for collection, please see the “Personal Data We Collect and Why We Collect It” section, above.

We retain your personal data as outlined in the “Retaining your Personal Data” section, above.

15.2  Data Disclosures

We disclose the categories of personal data listed above to our third-party service providers and vendors and our affiliates. If you place an order with a Partner, we will share your personal data with that Partner to allow that Partner to fulfill your order. Similarly, if you are accessing the Site or Services in connection with your school or employer, we will share your personal data with your school or employer as necessary for account administration. Apart from our sharing with Partners and employers or schools, the third parties that we share your personal data with are as outlined in the “Disclosing Your Personal Data” section, above.

15.3  Data Sales and Sharing for Cross-Context Behavioral Advertising

We do not sell your personal data to third parties. We do share your personal data with our vendors for the purposes of cross-context behavioral advertising. The personal data categories shared include identifiers (including IP address and device information), Internet and other electronic information, and inferences based on that personal data. To opt out of this sharing, click on the “Your Privacy Choices” link which can also be found on the footer of our Site.

We do not sell or share personal data of minors under 16.

15.4  Your Privacy Rights

As a California resident, you have the following privacy rights:

1. The right to know the categories and specific pieces of your personal data we have collected;
2. The right to request that we correct any of your personal data we have collected;
3. The right to request that we delete any of your personal data we have collected;
4. The right to request information about the collection, sale, and disclosure of your personal data; 
5. The right to request that we limit the use or disclosure of sensitive personal data;
6. The right to object to our processing of personal information for automated decision making;
7. The right to opt out of the sharing of personal information for targeted advertising; 
8. The right to not receive discriminatory treatment for exercising any of your privacy rights; and
9. If we deny your privacy request, the right to submit an appeal by sending an email to privacy@materialbank.com.

15.5  California’s Shine the Light Law

California’s “Shine the Light” law allows California residents to request information about how their personal data has been disclosed by Material Bank to third parties for the third parties’ direct marketing purposes. While Material Bank does not generally share personal data with third parties for their own direct marketing purposes, we do share your personal data with our Partners and Brands at your direction as part of your order fulfillment.
